PHOTOGRAPHIC SOCIETY

1. Name
The Society shall be named The Knutsford Photographic
Society.
2. Objectives
The objectives of the Society are the furtherance
of photographic arts and techniques amongst amateur workers and others
by the exchange of friendly ideas and mutual assistance among members,
as well as organising and holding lectures, exhibitions, demonstrations,
competitions etc for the benefit of the membership.
3. Membership
Membership is open to any person interested in,
or practising, photography as an amateur or professional, who agrees to
activity support the objectives of The Society and to abided by the rules
of this Constitution. Membership is subject to the approval of the Committee.
4. Subscriptions
Entrance fees and subscriptions shall be such amounts
as are from time to time determined by a general meeting of the members.
Annual membership shall be for the Society year from 1st September
to 31st August of the following year and annual subscriptions
shall be paid to the Honorable Treasurer as soon as possible in the current
Society year, and in any case prior to the 31st October, of
the current year, after which date membership will be deemed to have ceased.
No member shall be entitled to partake of any Society
competition or exhibition or other activity unless his or her subscriptions
have been paid.
5. Organisation
The Officers of the Society shall consistent of
a President; Vice President; Honorary Secretary; Honorary Treasurer; and
such other Officers as may, from time to time, be determined by a General
meeting of members. All Officers and other committee members shall be elected
at the Annual General Meeting and shall take up their posts at the first
meeting in the following Society year.
6. Management
The affairs of the Society shall be managed by
a committee consisting of elected Officers as prescribed in section 5,
plus three other elected Ordinary Members.
A quorum shall be constituted by FIVE committee members.
7. Annual
General Meeting
The Annual General Meeting of the Society shall
be held during the month of April in each year. The business shall include
the Minutes of the previous AGM, the Annual Report of the Committee, the
Statement of Accounts and Balance Sheet, the election of Officers and other
committee members, and such other business as has been advised in the agenda
for the meeting.
8. Special
(or Extra Ordinary) General Meeting
A Special (or Extra Ordinary) General Meeting may
be called at any time by the Committee or on receipt of a requisition to
the Committee signed by not less than one quarter of the current membership
of the Society, Except in an emergency under Section 11, fourteen days
notice of any General Meeting shall be given to all current members of
the Society. No business other than that advised in the agenda should be
discussed at the meeting.
9. Rules
A copy of these rules shall be made available to
every member of the Society and no alteration or amendment may be made
to these rules except at an Annual or Special General Meeting as defined
by these rules.
10. Nominations
and Proposals
Nominations for the election of Officers at an
AGM or SGM shall be delivered to the Hon. Secretary before the commencement
of the appropriate meeting. All such nominations should be signed by the
proposer and by the nominee, both being paid up members of the Society.
In the event that no nominations are received for
a particular office, the committee will call for volunteers at the meeting
concerned.
Proposals for the agenda of business for an AGM or
SGM should be conveyed to the Hon. Secretary not less than fourteen days
prior to the meeting concerned.
11. Emergencies
In the event of anything occurring not provided
for or not clear within these rules, the Committee shall have the power
to deal with such emergencies at their discretion. Notification of such
emergency and the action taken to deal with it shall be advised to the
membership by the Hon. Secretary at the first available opportunity but
in any case not later than the next regular meeting of the Society.
12. Dissolution
The Society may be dissolved only by the consent
and agreement of not less than three-quarters of the current membership
present at a General Meeting call for the purpose of dissolution. Such
meeting shall also appoint a Liquidator and decide the disposal of Society
funds and assets.

Alterations
and Amendments
Amendment No. 1 - 3rd April 1990
Eligibility
for entry into Knutsford Photographic Society ANNUAL Competitions
Any member who has not attended at least
six regular meetings in the current Society Season will, except at the
express discretion of the Committee, be excluded from entry into
any Knutsford Photographic Society Annual competition in the same season.
Note : this ruling does not affect the right
of entry to the regular monthly competitions for the title of "Photographer
of the Year" nor entry to the Christmas Knockout Competition.
